1. Introduction
Welcome to Linkence. These Terms of Service govern your use of our AI-powered document management and knowledge platform.
2. Definitions
- Customer / Organization: the legal entity purchasing or subscribing to the Services.
- User: an individual authorized by the Customer to access the Services.
- Services: Linkence software, APIs, features, support, and related platform functionality.
- Customer Content: documents, files, prompts, metadata, and other data submitted by Customer or Users.
- Output: responses, summaries, and other generated results produced by AI features.
- Third-Party Services: external platforms and providers (including Google, Microsoft, Atlassian, and similar services) connected by Customer.
- Subscription Term: the active paid, trial, or agreed service period for a Customer account.
3. Acceptance of Terms
By creating an account, accessing the platform, or using any Services, Customer and Users agree to these Terms and our Privacy Policy.
4. Service Description and AI Limitations
Linkence provides AI-enabled document ingestion, retrieval, collaboration, and enterprise workflow tooling.
- AI Output may be incomplete, inaccurate, or outdated and must be independently reviewed by Users.
- Services and Output are not legal, medical, financial, tax, or other professional advice.
- Service features may change over time, and maintenance windows or unplanned downtime may occur.
We may modify, improve, or discontinue certain features as part of product updates, security needs, or legal/compliance obligations.
5. User Accounts and Enterprise Administration
- Users must be authorized by their Organization to access or use the Services.
- Organization admins may manage users, permissions, integrations, and access controls.
- We may rely on instructions and actions from Organization admins as authorized account representatives.
- Customer is responsible for account credential security and all activity under its Organization tenant.
6. Acceptable Use Policy
You may not use the Services to:
- Store, transmit, or generate illegal content, infringing content, malware, phishing, or fraud.
- Bypass, probe, or defeat security controls, or scrape/harvest data without authorization.
- Attempt model abuse, prompt injection exploitation, or data exfiltration from systems you do not control.
- Upload sensitive or regulated data without required rights, permissions, or lawful consent.
- Use Services in prohibited high-risk regulated workflows where errors can cause significant harm.
We may apply fair use controls, rate limits, and abuse prevention mechanisms to protect service reliability and security.
7. Data Ownership and Processing Rights
Customer retains ownership of Customer Content. Customer grants Linkence a limited, non-exclusive license to host, process, transmit, and transform Customer Content solely to provide, secure, and support the Services.
During the Subscription Term, Linkence grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for Customer's internal business purposes, subject to these Terms and applicable Order Forms.
- Customer may not copy, modify, or create derivative works of the Services except as expressly permitted by law.
- Customer may not reverse engineer, decompile, or attempt to extract source code except where legally non-waivable rights apply.
- Customer may not resell, lease, or provide unauthorized third-party access to the Services.
- Customer may not bypass usage limits, access controls, or technical restrictions.
As between Customer and Linkence, Customer owns Output generated for Customer through the Services, and Linkence assigns to Customer any rights it may have in such Output to the extent permitted by applicable law.
Linkence retains all rights, title, and interest in the Services, platform technology, documentation, and related know how.
If Customer enters into a Data Processing Addendum (DPA) with Linkence, the DPA governs processing of Customer Content in the event of conflict with these Terms.
Model training: We do not use Customer Content to train foundation models by default. Any optional product-improvement use is opt-in only where explicitly offered by contract or settings.
8. Third-Party Services and Integrations
- Integrations with Third-Party Services are governed by those providers' own terms and policies.
- Customer authorizes Linkence to access configured third-party accounts solely to provide requested functionality.
- Customer controls which connectors are enabled and is responsible for permissions, authorized scopes, and rights to connect third-party data.
- Linkence accesses connector data only within the scopes and permissions authorized by Customer.
- Linkence is not responsible for downtime, deprecations, API changes, or policy actions by third-party providers.
- If a third-party provider suspends or changes access, related features may be limited or unavailable.
9. Confidentiality
Each party will protect the other party's Confidential Information using reasonable care and will only use such information to perform obligations under these Terms.
- Customer Content is treated as Customer Confidential Information.
- Exclusions: information that is public, already known without restriction, independently developed, or lawfully received.
- Disclosure required by law is permitted with notice where legally allowed.
These confidentiality obligations survive termination for five (5) years, and continue for trade secrets and Customer Content for as long as such information remains confidential under applicable law.
10. Fees, Taxes, Trials, Renewal, and Cancellation
- Subscriptions are billed monthly, annually, or under enterprise order forms.
- Applicable taxes (including GST/VAT/similar) are Customer's responsibility unless stated otherwise.
- Trials, beta access, or promotional pricing may have feature, term, and support limits.
- Enterprise invoices are payable as per contracted invoice terms.
- Subscriptions auto-renew unless cancelled before renewal date.
- Unless expressly stated, fees are non-refundable and prorations are not guaranteed.
- Non-payment may result in suspension until outstanding amounts are cleared.
Support: Standard support is provided via designated email/support channels on a best effort basis during published business hours. No specific service level agreement (SLA) applies unless expressly stated in an Order Form or separate agreement.
11. Suspension and Termination
- Either party may terminate per applicable Subscription Term or written agreement.
- We may suspend or terminate access for material breach, non-payment, abuse, or security risk.
- After termination, Customer may export data using available export tools or by support request (subject to plan, account status, and applicable law).
- After the export window, Customer Content may be deleted from active systems and backups per retention schedules.
- We may retain billing, audit, and legal compliance records as required by law.
12. Warranties Disclaimer
To the maximum extent permitted by law, Services are provided on an "as is" and "as available" basis without warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits.
- Linkence total aggregate liability arising from the Services is capped at amounts paid by Customer in the prior 12 months.
- Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
- The above exclusions and caps do not apply to breaches of confidentiality, willful misconduct, or infringement of the other party's intellectual property rights, to the extent such carve outs are required by law or expressly agreed in an Order Form.
- These limitations apply to the maximum extent permitted under applicable law.
14. Indemnification
Customer will defend, indemnify, and hold harmless Linkence and its affiliates from third-party claims, damages, losses, and expenses arising from:
- Customer Content that infringes rights or violates law.
- Misuse of Services by Customer or Users.
15. Governing Law, Venue, and Disputes
These Terms are governed by the laws of India. Subject to applicable law, courts in Ahmedabad, Gujarat will have exclusive jurisdiction over disputes arising from these Terms.
16. Changes, Notices, Assignment, Force Majeure, and Severability
- We may update these Terms with notice for material changes.
- Notices may be sent via product notifications, account email, or official support channels.
- Neither party may assign rights or obligations without required consent, except in permitted corporate transactions.
- Neither party is liable for delay/failure caused by events beyond reasonable control (force majeure).
- If any provision is unenforceable, the remaining provisions remain in effect.
